New Jersey LLC Certificate of Termination

Fill out L-109

This form is available here for download. Once downloaded, fill it out like so:

1) Enter the entity name
2) Enter the business entity number
3) Enter the date of formation
4) Enter the state of formation (foreign entities only)
5) Enter the Effective Date (If applicable)
(a) This can't be more than 30 days after the filing date. Backdating isn't allowed.
6) Enter the reason for filing the cancellation.
7) Add signature, name and date of the Authorized representative

There's multiple ways to submit this form - online, by mail, via fax, in-person.

Submit it online

1) Go to https://www.njportal.com/dor/annualreports
2) Select “Close a Business.” under business filing
3) List the ten-digit Business ID
(a) The business ID can be found on the Certificate of Formation
4) Select the business type
5) Final Contact Address
6) List Phone Number, Email Address and Fax number
7) Select Business Closing/Cancellation Choice
8) Check the box to signify the termination
9) Check the second box
10) List the authorized representative, signature and title
11) Upload "Plan of Dissolution" (If applicable)
12) List the LLC's members or managers and the street address of each.
13) Review and continue
14) Select payment type, the filing fee is $125
(a) Credit card payment attracts a Service Fee of $3.00
(b) E-Check payment attracts a Service Fee of $1.00
15) Pay.
16) Download the Business Formation Document.

Submit it by mail

1. Complete the form and submit in duplicate. Nonprofit organizations must submit form L-109 in triplicate.
2. Make checks payable to: TREASURER, STATE of NEW JERSEY. (No cash, please)
3. Mail to: NJ Division of Revenue, PO Box 308, Trenton, NJ 08646
